iOPharma™ Privacy Policy for use of the Site and Online Transactions
Welcome to iOPharmaTM, the web-based transaction, information and community portal for the global pharmaceutical industry.
1. Definitions and Interpretation
1.1. Definitions
All terms not defined in this document have the meaning ascribed to them in the Definitions of User Agreement between you and the Company, which by use of the Site you agree to accept. For the purposes of this Privacy Policy the following terms shall have the following meanings:
“Company” or “us” or “we” means Industry Online Limited (a company registered in the United Kingdom under number 7135218, whose registered office is at Singleton Park, Swansea SA2 8PP, United Kingdom)
“the Site” means www.io-pharma.com.
“User” or “you” means any person who accesses or views the Site for whatever purpose, regardless of whether such User is a Registered User (irrespective of the user category that may apply in the respective case, such as Single User, Corporate User or other) or whether such User is a paying customer for a specific service provided by the Company via the Site. A User includes a natural person using the Site and/or any body corporate, which may be represented by a natural person under actual or apparent authority.
1.2 Interpretation
In this Privacy Policy, unless the context otherwise requires:
Words denoting the singular shall include the plural and vice versa and words denoting the masculine gender shall include the feminine gender and vice versa and words denoting persons shall include firms, companies and corporations.
Headings are included for ease of reference only and shall not affect this User Agreement or the interpretation thereof.
The terms “including” and “in particular” are illustrative only and are not intended to limit the meaning of the words which precede them.
2. Privacy Policy
2.1. This is the privacy policy governing your use of the www.io-pharma.com (hereinafter referred to as “iOPharma”) Site. By using this Site, You consent to our Privacy Policy set out below.
2.2. We take your personal privacy seriously and we are committed to maintaining the privacy of every current, former and prospective user of the Site. We recognize that you entrust important personal information to us, and we wish to assure you that we take seriously our responsibilities in protecting and safeguarding this information. We are informing you of our policies for collecting, using, securing, and sharing your personal information.
2.3. This Privacy Policy was last amended May 10, 2018.
3. Types of Information we collect.
3.1. Registration Information
At the time you register to become a Registered User of the Site, you will be asked to fill out a registration from which requires you provide information such as your name, address, phone/fax number, email address and other business information such as the legal and financial standing of the company, Certificate of Registration of the company, Certificate that shows the signatories on behalf of the company.
3.2. Publishing Information.
If you submit any information to the Company and/or the Site to be published on the Site through the publishing tools, including but not limited to Company Profile, Product Catalog, prices, product details, packaging, quality, quantity etc, then you are deemed to have given consent to the publication of such information.
3.3. Statistical Information
In addition, we gather aggregate statistical information about our Site and Users, such as most required products and quantities per product and /or per order, least ordered products or services, IP addresses, browser software, operating system, pages viewed, number of sessions, unique visitors, etc.
3.4. Collected Information
Registration information, publishing Information, payment Information, Statistical Information and any information we may collect from you through the use of cookies (see Section 6 below) or any other means shall collectively be referred to as “Collected Information”
4. How We May Use your Collected Information
4.1. General
We use your Collected Information to improve our marketing and promotional efforts, to statistically analyze site usage, to improve our content and product offerings and to customize our Site’s content, layout and service specifically for you. We may use your Collected Information to service your Account with us, including but not limited to investigating problems, resolving disputes and enforcing agreements with us. We do not sell, rent, trade or exchange any personally-identifying information of our Users. We may share certain aggregate information based on analysis of Collected Information with our partners, customers, advertisers or potential Users. We may use your Collected Information to execute marketing campaigns, promotions or advertising messages on behalf of third parties; however, in these circumstances, your Collected Information will not be disclosed to such third parties unless you respond to the marketing, promotion or advertising message.
4.2. Registration Information.
We may use your Registration Information to provide services and/or products that you request or to contact you regarding additional services about which the Company determines that you might be interested. Specifically, we may use your email address, phone number or fax number to contact you regarding notices, survey, product alerts, new service or product offerings and communications relevant to your use of our Site or geographical location, or company type. We may generate reports and analysis based on Registration Information for internal analysis, monitoring and marketing decisions.
4.3. Publishing Information.
Any publishing Information that you disclose to the Company becomes public information and you relinquish any proprietary rights (including but not limited to the rights of confidentiality and copyrights) in such information unless specified otherwise, and handled in accordance to a Non-Disclosure Agreement (examples are Drug Master Files and other proprietary documentation). You should exercise caution when deciding to include personal or proprietary information in the publishing Information that you submit to us.
4.4. Payment Information.
The Company will share your payment Information with banks or vendors relevant to the transaction in order to enable transactions to be completed. In addition, the Company may use payment Information to determine your credit-worthiness and, in the process of such determination, the Company may make such payment Information available to banks or credit agencies. Any credit card information that you provide through the Site is directly submitted to a payment server of the credit card processing bank. The Company does not maintain electronic or physical copies of your credit card information.
4.5. Statistical Information.
We use Statistical Information to help diagnose problems with and maintain our computer servers, to manage our Site, and to enhance our Site and services based on the usage pattern data we receive. We may generate reports and analysis based on the Statistical Information for internal analysis, monitoring and marketing decisions. We may provide Statistical Information to third parties, but when we do so, we do not provide personally-identifying information without your permission.
5. Information Disclosure
5.1. We reserve the right to disclose your Collected Information to relevant authorities where we have reason to believe that such disclosure is necessary to identify, contact or bring legal action against someone who may be infringing or threatening to infringe, or who may otherwise be causing injury to or interference with, the title, right, interests or property of the Company, our Users, customers, partners, other Site users or anyone else who could be harmed by such activities.
5.2. We also reserve the right to disclose Collected Information in response to a subpoena or other judicial order or when we reasonably believe that such disclosure is required by law, regulation or administrative order of any court, governmental or regulatory authority.
5.3. If we have reason to believe that a User is in breach of the User Agreement or any other agreement with us, then we reserve the right to make public or otherwise disclose such User’s Collected Information in order to pursue our claim or prevent further injury to the Company or others.
6. Cookies
6.1. We use “cookies” to store specific information about you and track your visits to our Site. It is not uncommon for web sites to use cookies to enhance identification of their users. A “cookie” is a small amount of data that is sent to your browser and stored on your computer’s hard drive. A cookie can be sent to your computer’s hard drive only if you access our Site using the computer. If you do not de-activate or erase the cookie, each time you use the same computer to access our Site, our web servers will be notified of your visit to our Site and in turn we may have knowledge of your visit and the pattern of your usage. Generally, we use cookies to: identify you and enable us to access your Registration Information, Publishing Information or payment Information so you do not have to re-enter it; gather Statistical Information About Usage by users; research visiting patterns and help target advertisements based on User interests; assist our partners to track User visits to the Site and process orders; and track progress and participation in promotions.
6.2. You can determine if and how a cookie will be accepted by configuring your browser’s options which is installed in the computer you are using to access the Site. If you desire, you can change those configurations in your browser. By setting your preferences in the browser, you can accept all cookies, you can be notified when a cookie is sent, or you can reject all cookies. If you reject all cookies by choosing the cookie-disabling function in your browser, you may be required to re-enter your information on our Site more often and certain features of our Site may be unavailable.
7. Security of data transfers
7.1. Please note that data that is transported over an open network, such as the Internet or e-mail, may be accessible to anybody. The Company cannot guarantee the confidentiality of any communication or material transmitted via such open networks. When disclosing any personal information via an open network, you should remain mindful of the fact that it is potentially accessible to others, and consequently, can be collected and used by others without your consent. In particular, while individual data packets are often encrypted, the names of the sender and recipient are not. A third party may therefore be able to trace an existing account or relationship or one that is subsequently created. Even if both the sender and recipient are located in the same country, data may also be transmitted via such networks to other countries regularly and without controls, including to countries that do not afford the same level of data protection as your country of domicile.
7.2. For certain services, we use strong encryption to transfer your data (e-payment, for example). In these cases you will be told separately about the treatment of this data and about the details of encryption.
7.3. Your data may be lost during transmission or may be accessed by unauthorized parties. We do not accept any liability for direct or indirect losses as regards the security of your data during its transfer via Internet.
8. Links
The Site may contain hyperlinks to other websites that are not operated or monitored by the Company. These other websites are not subject to this Policy and we are not responsible for their content or for the policy they apply to the treatment of personal data. We recommend that you read the policy used by these websites and check how these websites protect your personal data and whether they are trustworthy.
9. Minors
The Site and its contents are not intended to be targeted to minors under applicable law and we do not intend to sell any of our products or services to minors. However, we have no way of distinguishing the age of individuals who access our Site and so we carry out the same privacy policy for individuals of all ages. If a minor has provided us with personal information without parental or guardian consent, the parent or guardian should contact us to remove the information.
10. Security Measures
10.1. We employ commercially reasonable security methods to prevent unauthorized access, maintain data accuracy and ensure correct use of information. We maintain physical, electronic and procedural safeguards to guard your personal information, including firewalls, individual passwords and encryption and authentication technology. We do not use for purposes other than as set out in this Privacy Policy, or disclose to any third party any personal information about users or former users, except with such user’s consent or as otherwise permitted or required by law.
10.2. As a Registered User, your Registration Information, Publishing Information and payment Information (if any) can be viewed and edited through your Account which is protected by Password. We recommend that you do not divulge your Password to anyone. Our personnel will never ask you for your Password in an unsolicited phone call or in an unsolicited e-mail. If you share a computer with others, you should not choose to save your log-in information (e.g., User ID and Password) on the computer. Remember to sign out of your Account and close your browser window when you have finished your session.
10.3. The Company’s personnel do not have access to the User’s password and are not entitled to know the User’s password or to access the security privileges to the users.
10.4. We restrict access to personal information about you to those employees, agents or other parties who need to know that information to provide products or services to you.
10.5. No data transmission over the Internet or any wireless network can be guaranteed to be perfectly secure. As a result, while we try to protect your information, no web site or company, including ourselves, can absolutely ensure or guarantee the security of any information you transmit to us and you do so at your own risk.
10.6. The Company shall not have access to the usernames/ passwords of the accounts; if the user lost his username/ password the system provides a password retrieval function. If the user fails to provide credentials to retrieve his password, then all the Company can do is to reset the password.
10.7. We maintain physical, electronic and procedural safeguards to guard your personal information, including firewalls, individual passwords and encryption and authentication technology. We do not use for purposes other than as set out above, or disclose to any third party any personal information about our customers or former customers, except with such customer’s consent or as otherwise permitted or required by law.
11. Changes to Privacy Policy
11.1. Any changes to this Privacy Policy will be communicated through our posting an amended and restated Privacy Policy on our Site. Our posting the amended and restated Privacy Policy will make such new Privacy Policy immediately effective.
11.2. You agree that all Collected Information (whether or not collected prior to or after the new policy became effective) will be governed by the newest Privacy Policy then in effect.
11.3. If you do not agree to the new changes in our Privacy Policy, you should contact the Company in writing (at the address set out in the Notice provision of the User Agreement) and specifically request that the Company return and/or destroy all copies of all or part of your Collected Information in the Company’s possession unless copies must be kept by the Company based on data retention requirements by public law (example: Compliance with VAT and other tax law provisions or other public law requires retention of the Company’s invoices sent to users for a period of 10 years after the end of each business year.).

You can access, view and edit your Registration Information, Publishing Information and payment information (if any) through your Account with the Company.
